In these terms and conditions, Hexeli refers to the trade name under which OZALO markets its products.
2. Purpose and Scope
These General Terms and Conditions of Sale, hereinafter referred to as the "GTC," define the rights and obligations applicable to sales concluded on the Hexeli.com website between OZALO and any person making a purchase, hereinafter referred to as the "Client."
They apply to all orders placed on the site, unless specific conditions are expressly accepted in writing by OZALO.
The Client acknowledges having read these GTC before validating their order. Validation of the order implies their full and unreserved acceptance.
The protective provisions exclusively reserved for consumers do not apply to purchases made for professional purposes.
3. Products
Hexeli primarily sells equipment for garages, workshops, detailing centers, showrooms, shops, and professional or private spaces: hexagonal LED lighting, floor coverings and tiles, workshop equipment, storage, tool trolleys, workbenches, metal cabinets, and associated accessories.
The essential characteristics of each product are presented on its product page.
Photographs, videos, dimensions, colors, and representations are provided with the utmost care. Slight differences may nevertheless appear due to screen settings, shooting conditions, or minor product evolutions, without modifying their essential characteristics.
Before placing an order, the Client must verify that the characteristics, dimensions, and technical specifications of the product correspond to the intended use.
4. Availability
Offers are valid as long as they are visible on the site and within the limits of available stock.
In the event of exceptional unavailability after order validation, Hexeli will inform the Client as soon as possible.
The Client may then choose, depending on the options offered:

an equivalent product;
-
to wait for replenishment;
-
or cancellation and full refund of the unavailable product.
In case of cancellation, the refund will be made using the original payment method as soon as possible.
5. Price
Prices are displayed in euros and include all taxes where VAT is applicable.
Delivery costs and, where applicable, other applicable charges are indicated to the Client before final order validation.
For deliveries outside the European Union, particularly in Switzerland, import taxes, customs duties, or administrative fees may be applied in accordance with the regulations of the destination country. Their payment is specified to the Client during the order process if they are not included in the price.
Hexeli may change its prices at any time. The invoiced price remains that displayed at the time of order validation, subject to the correction of a manifest pricing error.
6. Order Process
The Client selects the desired products and variants, checks the contents of their cart, then enters the necessary information for delivery and payment.
Before payment, the Client can check the details of their order, its total price, and correct any errors.
The order becomes final after:
-
acceptance of these GTC;
-
payment validation;
-
and sending of a confirmation email by Hexeli.
The Client must provide accurate, complete, and up-to-date information. Hexeli cannot be held responsible for a delay or impossibility of delivery resulting from an incorrect or incomplete address provided by the Client.
Hexeli reserves the right to suspend or cancel an order in case of suspected fraud, payment incident, obviously erroneous information, or an unresolved prior dispute.
7. Payment
Payment is made using the solutions offered on the website at the time of the order.
Transactions are secured by the payment providers used by Hexeli. Banking information is not directly retained by Hexeli.
The order is considered paid after effective confirmation of payment by the relevant provider.
In case of split payment, the conditions of the selected provider also apply to the Client.
8. Retention of Title
Products remain the property of OZALO until full payment of the order price.
For consumer Clients, the risks of loss or damage are transferred when the Client, or a third party designated by them other than the carrier, physically takes possession of the products.
9. Delivery Zones
Hexeli currently delivers to the following destinations:

France;

Belgium;
-
Luxembourg;
-
Switzerland.
The actually available destinations are displayed during the order placement process.
10. Preparation and Delivery
Unless otherwise indicated on the product page, orders are generally prepared and shipped within 24 to 48 business hours.
Delivery usually occurs within an estimated total of 5 to 8 business days from the validation of the order.
Some bulky products, large orders, or products requiring specific logistics may be subject to a different timeframe. This timeframe is then specified on the product page, during the order process, or communicated to the Client.
A tracking number is provided as soon as it is made available by the carrier.
Unless a different deadline is expressly agreed upon with the Client, the order will be delivered no later than 30 days after its validation.
11. Delivery Delay
In case of delay, the Client is invited to contact Hexeli at support@hexeli.com so that an investigation can be initiated with the carrier.
When the agreed delivery time is not met, the consumer Client may ask Hexeli to make the delivery within a reasonable additional period.
If delivery has still not been made by the end of this new period, the Client may terminate the contract under the conditions provided by the Consumer Code.
The Client may also immediately cancel the order when Hexeli refuses to deliver or when the delivery date constituted an essential condition of the order, provided that this condition was brought to Hexeli's attention before the order.
The sums paid will then be reimbursed in accordance with the applicable legal deadlines.
12. Receipt of Order
Upon receipt, the Client must check the condition of the package, as well as the conformity and quantity of the products received.
In the presence of visible damage, it is advisable to:

take photographs of the package before opening it;
-
make precise reservations with the carrier;
-
keep the packaging and the shipping label;
-
and promptly contact Hexeli at support@hexeli.com.
The absence of reservations made with the carrier does not deprive the consumer Client of their legal guarantees.
In case of damaged, missing, or incorrect product, the Client must send their order number and photographs to customer service to examine the situation.
13. Extended 30-Day Right of Withdrawal
Hexeli grants the consumer Client a commercial period of 30 days from receipt of the order to notify their decision to withdraw, without having to provide a reason for their decision.
When several products from the same order are delivered separately, the period runs from the receipt of the last product.
To exercise this right, the Client must send a clear statement expressing their desire to withdraw:

The Client may also use the withdrawal form available at the end of these GTC, although its use is not mandatory.
14. Return of Products
After notifying their withdrawal, the Client must return the products within a maximum of 14 days.
No returns should be shipped before contacting customer service and receiving the necessary instructions.
Unless there is an error by Hexeli, a defective or non-compliant product, the direct return costs are borne by the Client.
Products must be returned complete, with their accessories, instructions, and, where possible, their original packaging.
The Client may handle the product to the extent necessary to establish its nature, characteristics, and proper functioning. Their liability may be engaged in the event of depreciation resulting from handling beyond what would be reasonably necessary to examine the product.
In particular, the products must not show any signs of definitive assembly, prolonged installation, use, wear, deterioration, or modification beyond what is necessary for their verification.

The Client must retain proof of shipment until their return is fully processed.
15. Exceptions to the Right of Withdrawal
In accordance with applicable regulations, the right of withdrawal cannot be exercised for:

products manufactured according to the Client's specifications or clearly personalized;
-
products likely to deteriorate or expire rapidly;
-
unsealed products that cannot be returned for reasons of hygiene or health protection;
-
other products or services legally excluded from the right of withdrawal.
Any applicable exclusion is specified on the product page before the order.
16. Refund After Withdrawal
In the event of a valid withdrawal, Hexeli will refund the sums paid for the returned products as well as the initial delivery costs corresponding to the standard delivery method offered.
Any additional costs resulting from the choice of a more expensive delivery method than standard delivery will not be refunded.
The refund will be made no later than 14 days following the notification of withdrawal. However, Hexeli may defer the refund until the products are recovered or until receipt of proof of their shipment, whichever date is earlier.
The refund will be made using the same payment method as that used for the order, unless expressly agreed by the Client for another method without additional cost.
The direct return costs remain the responsibility of the Client, unless expressly confirmed by Hexeli.
17. Legal Guarantee of Conformity
The consumer Client benefits from the legal guarantee of conformity provided for in articles L.217-3 et seq. of the Consumer Code.
This guarantee covers defects of conformity existing at the time of delivery of the product and appearing within two years from that date.
In the event of a lack of conformity, the Client may request the repair or replacement of the product, subject to the cost and feasibility conditions provided by law.
Repair or replacement must occur free of charge for the Client, without major inconvenience, and within a reasonable period not exceeding 30 days following the request.
When repair or replacement is impossible, not carried out under legal conditions, or presents a major inconvenience, the Client may, depending on the circumstances, obtain a price reduction or rescission of the sale.
The legal guarantee of conformity applies independently of any commercial guarantee that may be offered.
To exercise this guarantee, the Client must contact support@hexeli.com, indicating their order number and attaching elements identifying the defect.
18. Guarantee Against Hidden Defects
The Client also benefits from the guarantee against hidden defects provided for in articles 1641 to 1649 of the Civil Code.
This guarantee applies when a hidden defect renders the product unfit for its intended use or so diminishes this use that the Client would not have purchased it, or would have offered a lower price, had they known about it.
The Client can choose to return the product and obtain a refund of its price or to keep the product and obtain a reduction in price.
The action must be initiated within two years of discovering the defect.
19. Commercial Warranty
Some Hexeli products, notably certain LED lighting systems, may benefit from an additional commercial warranty, the duration of which is indicated on their product page or on the warranty document provided with the product.
The conditions, duration, territory covered, and implementation procedures of this warranty are specified in the corresponding contract or warranty document.
This commercial warranty is in addition to the legal guarantees and does not limit any of the rights granted to the Client by law.
It does not cover damages resulting in particular from improper installation, product modification, use contrary to instructions, or an external cause, unless otherwise provided by mandatory legal provisions.
20. Liability and Product Use
Hexeli is responsible for the proper performance of its obligations in accordance with applicable legal rules.
However, Hexeli's liability cannot be engaged when the damage results exclusively from:
-
use that does not comply with the instructions;
-
incorrect installation or assembly carried out by the Client or a third party;
-
unauthorized modification of the product;
-
incompatibility that the Client could reasonably have identified thanks to the information provided before the order;
-
or an event qualifying as force majeure.
Electrical installations must be carried out in accordance with applicable regulations and, where necessary, by a qualified person.
No provision of these GTC limits legal guarantees or the mandatory rights of the consumer Client.
21. Force Majeure
Neither party may be held liable for a failure caused by an event meeting the criteria of force majeure as defined by Article 1218 of the Civil Code and French jurisprudence.
The party concerned must inform the other party as soon as possible.
If the impediment is temporary, the performance of the obligation is suspended. If the impediment becomes definitive, the contract may be terminated under the applicable legal conditions.
22. Personal Data
Personal data collected during the order process is processed to ensure the management of orders, payments, deliveries, returns, and customer relations.
The terms of collection, use, retention, and exercise of rights are detailed in the Privacy Policy accessible on Hexeli.com.
23. Intellectual Property
The texts, photographs, videos, logos, brands, graphic creations, visual elements, tools, and content accessible on Hexeli.com are protected by intellectual property rules.
Any unauthorized reproduction, adaptation, extraction, distribution, or exploitation, whether in whole or in part, is prohibited.

25. Consumer Mediation
In the event of a complaint not resolved after a written request to customer service, the consumer Client may free of charge resort to the consumer mediator with whom OZALO is affiliated:

The Client must have previously attempted to resolve their dispute directly with Hexeli's customer service.
26. Applicable Law and Dispute Resolution
These GTC are governed by French law.
This choice does not deprive a consumer Client residing in another country of the more protective mandatory provisions that would be applicable to them in their country of residence.
In the event of a dispute, the parties will endeavor to find an amicable solution.
Failing amicable resolution or mediation, the consumer Client may refer the matter to the competent court in accordance with applicable legal rules.
For professional Clients, any dispute will fall under the exclusive jurisdiction of the courts of Paris, unless otherwise mandated by law.
27. Modification of the GTC
Hexeli may modify these GTC at any time.
The GTC applicable to an order are those accepted by the Client at the time of its validation.
If any provision of these GTC is declared invalid or unenforceable, the remaining provisions will remain in force.
