Terms and Conditions of Sale

In these terms, Hexeli refers to the trade name under which OZALO sells its products.

2. Purpose and scope

These General Terms and Conditions of Sale, hereinafter the "Terms", set out the rights and obligations applicable to sales concluded on the Hexeli.com website between OZALO and any person making a purchase, hereinafter the "Customer".

They apply to any order placed on the website, unless specific conditions are expressly accepted in writing by OZALO.

The Customer acknowledges having read these Terms before confirming their order. Confirming the order implies their full and unreserved acceptance.

Protective provisions reserved exclusively for consumers do not apply to purchases made for professional purposes.

3. Products

Hexeli specializes in the sale of LED lighting solutions, in particular hexagonal LED lighting systems intended for garages, workshops, detailing centers, showrooms, retail spaces, as well as professional and residential spaces.

Products may be offered in various formats, dimensions, power ratings and configurations. Hexeli may also sell the accessories, connectors, mounting hardware, power supply systems and other components required for their installation, connection or use.

The essential characteristics of each product are presented on its product page.

Photographs, videos, dimensions, colors and representations are provided with the greatest care. Slight differences may nevertheless appear due to screen settings, photography or minor changes made to the products, without altering their essential characteristics.

Before ordering, the Customer must check that the product's dimensions, power rating, electrical characteristics, configuration and technical specifications match their space and intended use.

4. Installation and connection

The lighting products sold by Hexeli must be installed and used in accordance with the instructions provided, the technical specifications stated on the product pages and the applicable regulations.

Before any installation, the Customer must check the compatibility of the product with their space, their electrical installation and the intended use.

Any work on an electrical installation must be carried out in compliance with the applicable safety rules.

Where the nature of the installation, the skills required or regulations so require, the Customer must use a qualified professional.

Any unintended modification of the product, its power supply, its wiring, its connectors or its components may compromise its operation and safety.

5. Availability

Offers are valid as long as they are visible on the website and subject to available stock.

In the event of exceptional unavailability after the order has been confirmed, Hexeli will inform the Customer as soon as possible.

The Customer may then choose, depending on the options offered:

  • an equivalent product;

  • to wait for restocking;

  • or cancellation and a full refund of the unavailable product.

In the event of cancellation, the refund will be made via the original payment method as soon as possible.

6. Prices

Prices are displayed in euros and inclusive of all taxes where VAT is applicable.

Shipping costs and, where applicable, other applicable charges are indicated to the Customer before the order is finally confirmed.

For deliveries outside the European Union, in particular to Switzerland, import taxes, customs duties or administrative fees may apply in accordance with the regulations of the destination country. Who bears them is specified to the Customer at the time of ordering where they are not included in the price.

Hexeli may change its prices at any time. The price invoiced remains the price displayed at the time the order is confirmed, subject to the correction of an obvious pricing error.

7. Ordering process

The Customer selects the desired products and variants, checks the contents of their cart and then enters the information required for delivery and payment.

Before payment, the Customer may check the details of their order and its total price and correct any errors.

The order becomes final after:

  • acceptance of these Terms;

  • validation of the payment;

  • and the sending of a confirmation email by Hexeli.

The Customer must provide accurate, complete and up-to-date information. Hexeli cannot be held liable for a delay or inability to deliver resulting from an incorrect or incomplete address provided by the Customer.

Hexeli reserves the right to suspend or cancel an order in the event of suspected fraud, a payment incident, manifestly erroneous information or a prior unresolved dispute.

8. Payment

Payment is made using the payment solutions offered on the website at the time of ordering.

Transactions are secured by the payment providers used by Hexeli. Complete banking details are not directly stored by Hexeli.

The order is considered paid once payment has been effectively confirmed by the relevant provider.

In the event of payment in installments, the terms of the selected provider also apply to the Customer.

9. Retention of title

Products remain the property of OZALO until full payment of the order price.

For consumer Customers, the risk of loss or damage passes when the Customer, or a third party designated by them other than the carrier, takes physical possession of the products.

10. Delivery areas

Hexeli currently delivers to the following destinations:

  • France;

  • Belgium;

  • Luxembourg;

  • Switzerland.

The destinations actually available are displayed at checkout.

11. Preparation and delivery

Unless otherwise stated on the product page, orders are generally prepared and shipped within 24 to 48 business hours.

Delivery generally takes place within a total estimated time of 5 to 8 business days from order confirmation.

Some configurations, large orders or orders requiring special logistics may be subject to a different lead time. This lead time is then specified on the product page, during checkout or communicated to the Customer.

A tracking number is provided as soon as it is made available by the carrier.

Unless a different lead time is expressly agreed with the Customer, the order will be delivered no later than 30 days after its confirmation.

12. Late delivery

In the event of a delay, the Customer is invited to contact Hexeli at support@hexeli.com so that an inquiry can be opened with the carrier.

Where the agreed delivery time is not met, the consumer Customer may ask Hexeli to make the delivery within a reasonable additional period.

If delivery has still not been made by the end of this new period, the Customer may terminate the contract under the conditions set out in the French Consumer Code (Code de la consommation).

The Customer may also cancel the order immediately where Hexeli refuses to deliver or where the delivery date was an essential condition of the order, provided that this condition was brought to Hexeli's attention before the order was placed.

The amounts paid will then be refunded within the applicable statutory time limits.

13. Receiving the order

Upon receipt, the Customer must check the condition of the parcel as well as the conformity and quantity of the products received.

In the presence of visible damage, it is advisable to:

  • take photographs of the parcel before opening it;

  • note specific reservations with the carrier;

  • keep the packaging and the shipping label;

  • and promptly contact Hexeli at support@hexeli.com.

The absence of reservations made with the carrier does not deprive the consumer Customer of their legal guarantees.

In the event of a damaged, missing or incorrect product, the Customer must send customer service their order number together with photographs allowing the situation to be examined.

14. Extended 30-day right of withdrawal

Hexeli grants the consumer Customer a commercial period of 30 days from receipt of the order to notify their decision to withdraw, without having to give any reason.

Where several products from the same order are delivered separately, the period runs from receipt of the last product.

To exercise this right, the Customer must send a clear statement expressing their intention to withdraw:

  • by email: support@hexeli.com;

  • or by post: OZALO – Hexeli, 60 rue François 1er, 75008 Paris, France.

The Customer may also use the withdrawal form available at the end of these Terms, although its use is not mandatory.

15. Returning products

After notifying their withdrawal, the Customer must return the products within a maximum of 14 days.

The Customer is invited to contact customer service before shipping to obtain the information needed to process their return.

Except in the event of an error by Hexeli or a defective or non-conforming product, the direct cost of returning the goods is borne by the Customer.

Products must be returned complete, with their accessories, connectors, mounting hardware, instructions and, as far as possible, their original packaging.

The Customer may handle the product to the extent necessary to establish its nature, characteristics and proper functioning. They may be held liable for any diminished value resulting from handling beyond what would be reasonably necessary to examine the product.

In particular, products must not show signs of permanent assembly, electrical connection, prolonged installation, use, wear, damage or modification beyond what is necessary to check them.

The Customer must keep proof of shipment until their return has been fully processed.

16. Exceptions to the right of withdrawal

In accordance with applicable regulations, the right of withdrawal cannot be exercised, in particular, for:

  • products made to the Customer's specifications or clearly personalized;

  • products liable to deteriorate or expire rapidly;

  • unsealed products that cannot be returned for hygiene or health protection reasons;

  • other products or services legally excluded from the right of withdrawal.

Any applicable exclusion is specified on the product page before ordering.

17. Refund after withdrawal

In the event of a valid withdrawal, Hexeli refunds the amounts paid for the returned products as well as the initial delivery costs corresponding to the standard delivery method offered.

Any additional costs resulting from the choice of a delivery method more expensive than standard delivery are not refunded.

The refund is made no later than 14 days after notification of the withdrawal. Hexeli may, however, defer the refund until the products have been recovered or until proof of their shipment has been received, whichever comes first.

The refund is made using the same payment method as that used for the order, unless the Customer expressly agrees to another method at no additional cost.

The direct cost of returning the goods remains the responsibility of the Customer, unless Hexeli has expressly confirmed that it will bear it.

18. Legal guarantee of conformity

The consumer Customer benefits from the legal guarantee of conformity provided for in Articles L.217-3 et seq. of the French Consumer Code (Code de la consommation).

This guarantee covers lack of conformity existing at the time of delivery of the product and appearing within two years of delivery.

In the event of a lack of conformity, the Customer may request repair or replacement of the product, under the conditions provided for by law.

Repair or replacement is carried out at no cost to the Customer, without major inconvenience and under the conditions and within the time limits provided for by applicable regulations.

Where repair or replacement is impossible or cannot take place under the conditions provided for by law, the Customer may, depending on the circumstances, obtain a price reduction or rescission of the sale.

The legal guarantee of conformity applies independently of any commercial warranty that Hexeli may offer.

To exercise this guarantee, the Customer must contact support@hexeli.com, stating their order number and attaching the information needed to identify the defect.

19. Guarantee against hidden defects

The Customer also benefits from the guarantee against hidden defects provided for in Articles 1641 to 1649 of the French Civil Code (Code civil).

This guarantee applies where a hidden defect renders the product unfit for its intended use or so diminishes that use that the Customer would not have purchased it, or would have paid a lower price, had they been aware of it.

The Customer may, under the conditions provided for by law, choose to return the product and obtain a refund of its price, or to keep the product and obtain a price reduction.

The action must be brought within two years of discovery of the defect.

20. Hexeli commercial warranty

In addition to the legal guarantees, Hexeli LED lighting systems may be covered by a 5-year commercial warranty where this duration is stated on the relevant product page.

This commercial warranty covers, under the conditions set out in the applicable warranty document, malfunctions or failures of the product attributable to its components and occurring in the course of normal use in accordance with the instructions.

Depending on the nature of the defect observed, Hexeli may in particular replace or supply the item or component concerned under the conditions set out in the commercial warranty.

The commercial warranty does not cover, in particular, damage resulting from:

  • incorrect installation or connection;

  • use contrary to the instructions;

  • unauthorized modification of the product or its wiring;

  • an impact or damage caused after delivery;

  • use under conditions incompatible with the product's technical specifications;

  • normal wear and tear;

  • or a cause external to the product.

The precise conditions, duration, territory covered and implementation terms are those set out in the commercial warranty applicable to the product.

This commercial warranty is in addition to the legal guarantees and does not limit any of the rights granted to the Customer by law.

21. Liability and use of products

Hexeli is responsible for the proper performance of its obligations in accordance with the applicable legal rules.

However, Hexeli cannot be held liable where the damage results exclusively from:

  • use not in accordance with the instructions;

  • incorrect installation or connection carried out by the Customer or a third party;

  • unauthorized modification of the product, its connectors, its power supply or its wiring;

  • an incompatibility that the Customer could reasonably have identified from the information provided before ordering;

  • failure to follow the safety instructions;

  • or an event of force majeure.

Electrical installations must be carried out in accordance with applicable regulations and, where necessary, by a qualified person.

Nothing in these Terms limits the legal guarantees or the mandatory rights of the consumer Customer.

22. Force majeure

Neither party may be held liable for a failure caused by an event meeting the criteria of force majeure as defined by Article 1218 of the French Civil Code and French case law.

The party concerned must inform the other party as soon as possible.

If the impediment is temporary, performance of the obligation is suspended. If the impediment becomes permanent, the contract may be terminated under the applicable legal conditions.

23. Personal data

Personal data collected when ordering is processed in particular to manage orders, payments, deliveries, returns, after-sales service and the customer relationship.

The terms of collection, use, retention and exercise of rights are detailed in the Privacy Policy available on Hexeli.com.

24. Intellectual property

The texts, photographs, videos, logos, trademarks, graphic creations, visual elements, tools and content accessible on Hexeli.com are protected by intellectual property rules.

Any unauthorized reproduction, adaptation, extraction, distribution or exploitation, in whole or in part, is prohibited.
